Terms of Service

1. Acceptance of These Terms
These Terms of Service form a legally binding agreement between you and Roviran LLC. By creating an account, clicking I agree, or using the Services, you confirm that you have read and agree to be bound by these Terms. The Privacy Policy, Telehealth Informed Consent, and any payment terms are incorporated by reference. If you do not agree, do not use the Services.
2. Definitions
Platform or Services means the website, intake flows, patient portal, and administrative coordination services made available by Roviran. Provider Group means the licensed professional entity delivering clinical services. Pharmacy means a state-licensed pharmacy dispensing prescribed medications. Medication means any prescription drug or compounded preparation coordinated through the Services. You or Patient means the individual using the Services.
3. Eligibility
You must be at least 18 years of age. You must be a U.S. resident physically located in a state where the Provider Group is licensed. You must have legal capacity to enter a binding contract. You must provide accurate, current, and complete registration information. You must be authorized to use any payment method you provide.
4. Nature of the Services
Roviran LLC is a management services organization coordinating non-clinical administrative, marketing, technology, and support services. Roviran does not practice medicine, nursing, or pharmacy. Roviran does not prescribe, diagnose, compound, dispense, or fulfill prescriptions, and does not direct the clinical judgment of any Provider or Pharmacy.
5. Your Relationship with Providers and Pharmacies
Providers and Pharmacies are independent of Roviran. The clinician-patient relationship is established solely between you and the Provider Group. Clinical decisions are made by the Provider independently. Roviran does not guarantee that you will be prescribed any Medication or that your condition will improve.
6. Not Insurance; Cash-Pay Program
Roviran is not an insurer. The Services operate on a cash-pay basis. No claims are submitted to commercial insurance, Medicare, Medicaid, TRICARE, or any federal or state health benefit program. You may be eligible to use an HSA or FSA — eligibility is determined by your plan administrator.
7. Telehealth Informed Consent
Clinical services delivered through the Platform are telehealth services with benefits and limitations described in our Telehealth Informed Consent, which you must accept before receiving care.
8. Account Registration and Security
You must create an account to use most Services. You agree to provide accurate information, keep credentials secure, and be responsible for all activity under your account. Notify us at info@roviran.com immediately if you suspect unauthorized access.
9. License to Use the Platform
Roviran grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. All other rights are reserved.
10. Prohibited Conduct
You may not: use the Services to violate any law or third-party right; impersonate any person or misrepresent your identity, residency, or medical history; upload unlawful or infringing content; attempt unauthorized access to the Platform; use bots or scrapers to extract data; interfere with or disrupt the Platform; obtain Medication through misrepresentation; or resell prescription medication.
11. User Submissions and Information
You retain ownership of content you submit. By submitting, you grant Roviran a non-exclusive license to use your submissions solely to provide the Services. You represent that all information you provide is true, accurate, current, and complete.
12. Intellectual Property
The Platform is owned by Roviran or its licensors and protected by U.S. and international intellectual property laws. ROVIRAN and the Roviran logo are trademarks of Roviran LLC.
13. Prescription Products
Medications require a prescription from a Provider. You will not receive a prescription without a clinical consultation. Compounded medications are not FDA-approved finished drug products. Medications may not be returned for reuse or resale.
14. Subscription Products and Recurring Billing
Memberships are offered on a subscription basis. By enrolling, you authorize recurring charges at the intervals and amounts disclosed at checkout. Subscriptions renew automatically until you cancel.
15. Pricing, Taxes, and Payment
Prices are subject to change with advance notice where required by law. Prices exclude applicable taxes unless stated otherwise. You authorize Roviran and its payment processor to charge your payment method for all amounts due.
16. Cancellation and Refunds
You may cancel your membership at any time through your account portal or by emailing info@roviran.com. Except as set forth in any applicable refund policy or required by law, fees already paid are non-refundable.
17. Third-Party Services and Links
The Services may link to third-party websites. Roviran is not responsible for third-party content. Your use of third-party services is governed by their own terms.
18. Electronic Communications
By using the Services, you consent to receive communications electronically. Electronic notices satisfy any legal requirement that communications be in writing.
19. Right to Modify or Discontinue the Services
We may add, change, suspend, or discontinue any portion of the Services at any time, with or without notice, except where advance notice is required by law.
20. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ROVIRAN DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU USE THE SERVICES AT YOUR OWN RISK.
21. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ROVIRAN AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. ROVIRAN’S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID ROVIRAN IN THE TWELVE MONTHS PRECEDING THE CLAIM.
22. Indemnification
You agree to defend, indemnify, and hold harmless Roviran and its officers, directors, members, employees, and agents from any claims, liabilities, damages, losses, and expenses, including attorneys’ fees, arising from your breach of these Terms, misuse of the Services, violation of any law, or negligent acts.
23. Binding Individual Arbitration; Class Action Waiver
Any dispute between you and Roviran will be resolved exclusively through final and binding individual arbitration administered by the AAA under its Consumer Arbitration Rules. You waive your right to a jury trial and to participate in any class action.
24. Notice of Dispute; Opting Out of Arbitration
Before arbitration, both parties agree to send a written Notice of Dispute to info@roviran.com describing the claim and relief sought. The parties will attempt to resolve the dispute informally for 30 days. You may opt out of arbitration by emailing info@roviran.com within 30 days of first accepting these Terms.
25. Limited Time to Bring Claims
Any claim must be commenced within one (1) year after it accrues. Claims not brought within that period are permanently barred to the fullest extent permitted by law.
26. Governing Law and Venue
These Terms are governed by federal law and the laws of the State of Wyoming. For matters not subject to arbitration, the parties consent to courts located in Wyoming.
27. Geographic Restrictions
The Services are offered only to persons located in the United States in states where the Provider Group is licensed. You will comply with all applicable U.S. export-control and sanctions laws.
28. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or through the Platform. Continued use after the effective date constitutes acceptance.
